2) Eligibility and Accounts

• You must be at least 13 years old to use the Services.
• If you create an account, you must provide accurate information and keep it up-to-date. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
• If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3) Plans, Billing, and Taxes

• We offer a Free plan and paid subscriptions (e.g., Pro, Pro Plus). Plan features and usage limits are described in the Services and may change from time to time.
• Paid subscriptions are billed in advance on a recurring basis (e.g., monthly or yearly) until canceled. You authorize our payment provider Paddle (merchant of record) to charge your payment method for applicable fees, taxes, and any overages where applicable.
• Prices do not include taxes unless stated. You are responsible for all applicable taxes, duties, and charges, which may be collected by Paddle at checkout.
• You can cancel your paid subscription at any time; access will continue until the end of the current billing period. Unless required by law, fees are non-refundable and we do not provide credits or refunds for partial billing periods.
• Promotional offers, discounts, or plan changes may be subject to additional terms disclosed at the time of the offer.

4) Usage Limits and Fair Use

Your plan may include limits (e.g., keyword research count, competitor analysis count, exported rows). We may monitor usage to operate the Services and enforce plan limits. Automated access, excessive load-generating behavior, or attempts to bypass limits is prohibited and may result in suspension or termination.

5) Acceptable Use

• Do not use the Services for unlawful purposes or to violate laws.
• Do not infringe, misappropriate, or violate intellectual property, privacy, or other rights.
• Do not attempt to access non-public areas, probe, scan, or test the vulnerability of any system or network.
• Do not interfere with, disrupt, or degrade the integrity or performance of the Services.
• Do not use the Services to transmit malware, spam, or unauthorized communications.
• Do not resell, sublicense, or provide the Services to third parties on a stand-alone basis without our written consent.

6) Intellectual Property

We and our licensors own all rights, title, and interest in and to the Services, including software, data (excluding your content), designs, logos, and trademarks. Except for the limited rights expressly granted to you, no other rights are granted by implication or otherwise.

7) User Content

You may submit or upload content while using the Services ("User Content"). You retain ownership of your User Content. You grant Keywordra a worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit your User Content solely to provide and improve the Services and as otherwise permitted by you. You represent that you have all necessary rights to submit the User Content and that it does not violate these Terms or applicable law.

8) Feedback

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation to you.

9) Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share information about you.

10) Third-Party Services and Links

The Services may integrate with or reference third-party services (e.g., Paddle for payments). Your use of such services may be subject to their own terms and privacy policies, and we are not responsible for their actions. See Paddle’s privacy policy at paddle.com/legal/privacy.

11) Service Changes

We may add, modify, or discontinue features or functionality at any time. We will use reasonable efforts to notify you of changes that materially affect your use of the Services.

12) Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free or that data will be accurate or complete.

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL KEYWORDRA, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

14) Indemnification

You will indemnify and hold harmless Keywordra and its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Services, or your violation of these Terms or applicable law.

15) Term and Termination

These Terms are effective until terminated. We may suspend or terminate your access to the Services immediately if we believe you have violated these Terms, engaged in fraudulent or illegal activity, or created risk or possible legal exposure for us or others. You may delete your account at any time; certain obligations by their nature will survive termination (e.g., payment obligations, IP ownership, indemnities, disclaimers, and limitations of liability).

16) Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware to resolve any dispute arising from these Terms or the Services, except where mandatory law provides otherwise for consumers.

17) Export and Sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or person on any U.S. government embargoed or prohibited party list. You agree to comply with applicable export control and sanctions laws.

18) Electronic Communications

You consent to receive communications from us electronically, such as emails, in-app messages, or notices posted in the Services, and you agree that all communications satisfy any legal requirement that such communications be in writing.

19) Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Keywordra regarding the Services and supersede all prior agreements.
• Severability: If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• No Waiver: Our failure to enforce any right or provision is not a waiver of such right or provision.
